Terms and Conditions
These Terms and Conditions ("Agreement") govern the use of services provided by Reelin ("Reelin," "we," or "us") to our clients ("Client" or "you"). By using our services, you agree to abide by the terms outlined below.
1. Services
Client hereby engages Reelin and Reelin hereby accepts such engagement, as an independent contractor, to provide certain services to Client on the terms and conditions set forth on this page. Reelin shall provide to the Client certain services related to sourcing, recruiting, reviewing and presenting individuals for potential employment and/or contracting with the Client.
2. VA / EA Candidate Information
Client will receive candidate details, including their full name, start date, role, and working schedule.
3. VA / EA Scope of Work
The candidate, acting as an Executive Assistant and/or Virtual Assistant, will support the Client in a variety of administrative, organizational, and operational tasks. These tasks may include, but are not limited to, the following:
Calendar and Scheduling Management
Managing appointments, meetings, and reminders.
Coordinating time zones and availability for internal and external stakeholders.
Sending calendar invites, follow-up reminders, and rescheduling meetings when necessary.
Ensuring that scheduling conflicts are resolved promptly and that the Client’s calendar is always up-to-date.
Email and Communication Support
Monitoring and organizing the Client's email inbox.
Drafting, proofreading, and responding to emails on behalf of the Client.
Preparing professional communications, reports, and presentations for internal and external use.
Managing communication with key stakeholders, clients, and partners, ensuring timely responses and follow-ups.
Assisting with professional writing tasks, including reports, memos, and other formal communications.
Document Preparation and File Management
Creating, editing, and formatting documents, presentations, spreadsheets, and other materials.
Maintaining cloud-based document storage and ensuring organized, easily accessible files (e.g., Google Drive, Dropbox).
Transcribing meeting notes and creating summaries of discussions, action items, and next steps.
Assisting in creating and managing project documents and files related to ongoing initiatives.
Task and Project Coordination
Assisting with project timelines, ensuring tasks are tracked and completed on schedule.
Following up with stakeholders and team members to ensure deliverables are met and deadlines are adhered to.
Supporting basic research and data collection for projects, ensuring the Client has the necessary information to make informed decisions.
Collaborating with the Client’s team to keep projects on track and provide regular progress updates.
Online Tools and Platform Assistance
Utilizing productivity and communication tools such as Slack, Notion, Trello, and Zoom to manage tasks, projects, and communications.
Managing CRM (Customer Relationship Management) entries, updates, and ensuring the database is organized and up-to-date.
Handling basic updates to websites or social media accounts as required by the Client, ensuring consistent branding and messaging.
Travel and Event Arrangements
Researching and booking travel accommodations, including flights, hotels, and transportation.
Coordinating itineraries for business trips, meetings, and events, ensuring that all logistics are well-organized.
Assisting in the preparation and coordination of events, conferences, and meetings, including managing RSVPs, venues, and materials.
Client and Partner Communication
Scheduling and confirming appointments or calls with clients, partners, and stakeholders.
Providing professional and timely responses on behalf of the Client, ensuring that all communications are clear, polite, and professional.
Assisting with preparing and distributing materials for meetings, including agendas, presentations, and supporting documents.
The scope of work is dynamic and may be adjusted over time based on evolving business needs and the strengths of the Candidate. Any significant changes to the scope will be communicated and agreed upon by both the Client and Reelin.
4. VA / EA Packages & Pricing
Reelin offers three service packages based on hours per week:
Starter: 10 hours/week (Part-timer)
Boost: 20 hours/week (Part-timer)
Growth: 40 hours/week (Full-timer)
The pricing of these packages are communicated directly to the Client.
The Client may downgrade their selected package by providing at least 30 days' written notice to Reelin. The Client may request to upgrade their package, which may be implemented sooner depending on the Candidate’s availability and schedule. Reelin will coordinate with both the Candidate and the Client to accommodate the upgrade request as efficiently as possible.
5. Contracting Period
The Contracting of the Candidate will begin on a date mutually agreed upon by the Client and Reelin. The contract will continue indefinitely until either party provides a 30-day written notice of termination, unless a different term is specified in writing and agreed upon by both parties.
6. Payment
Payments are due every 4 weeks via automatic credit card payment. In cases where a candidate starts mid-week, a pro-rated invoice will be issued. This invoice will be paid within five working days.
7. Performance and Reviews
Candidate performance will be evaluated quarterly. Clients and Reelin will provide feedback on the candidate's strengths and areas for improvement. Persistent underperformance may result in reevaluation or termination.
8. Vacation and Holidays
Part-Time Candidates: Part-time candidates are entitled to unpaid vacation days and public holidays. These vacation days and public holidays must be communicated to the Client at least two weeks in advance, subject to operational requirements. The total number of vacation days and public holidays taken by part-time candidates is reasonable and proportional to the number of hours worked. These days will not be included in the Client's billing, and the Client will not be charged for any vacation days taken by part-time candidates.
Full-Time Candidates: Full-time candidates are entitled to 10 paid vacation days per calendar year. These paid vacation days are included in the Client's billing. Vacation days must be communicated to the Client at least two weeks in advance, subject to operational requirements. The Client is responsible for ensuring that the full-time candidate's time off is properly accounted for in the work schedule.
Public Holidays: The Client acknowledges the observance of national public holidays and special non-working days as officially declared by the Government of the Philippines. The list of applicable holidays can be found here: Philippine Nationwide Holidays 2025. The Client and the Candidate will mutually decide whether the Candidate will work on any of these public holidays.
9. Sickness and Payment
Part-Time Candidates: If the part-time candidate is unable to perform their duties due to illness or injury, they must notify Reelin and the Client immediately. The Client is not responsible for paying Reelin during this period of sickness. In the event of a prolonged illness (exceeding 7 consecutive working days), Reelin will inform the Client of the expected duration of the Candidate's absence and any potential impact on the progress of the work. If necessary, the parties may mutually agree to suspend the work or deploy a replacement candidate, and any financial implications of such decisions will be determined through mutual agreement.
Full-Time Candidates: If the full-time candidate is unable to perform their duties due to illness or injury for more than 7 consecutive working days, the Client is no longer required to continue paying for their services. Reelin will ensure compliance with any applicable statutory or contractual sick pay obligations under Filipino law. The Candidate must notify Reelin and the Client as soon as possible, and the expected duration of the absence will be communicated to the Client. If the absence is prolonged beyond the 7-day period, the Client will not be charged for the Candidate's time off. If the situation persists, the Client and Reelin may mutually decide to suspend the work or deploy a replacement candidate, and any financial implications of such decisions will be determined through mutual agreement.
10. Confidentiality
Confidentiality Obligation Reelin, the Client and the Candidate are obligated to maintain strict confidentiality regarding all business, marketing, technical, financial, or personal data they obtain in the context of this Agreement. This obligation applies both during the term of the Agreement and after its termination. NDA Applicability Reelin agrees to enter into a separate NDA or confidentiality clause with the Candidate, in which at least equivalent terms are included. Exceptions The confidentiality obligation does not apply to information that is already publicly available or that Reelin, the Client, and the Candidate has received from a third party without any confidentiality obligation.
11. Privacy and Data Protection
Reelin and the Client agree to process any personal data in compliance with the General Data Protection Regulation (GDPR) and other applicable data protection laws. Reelin shall ensure that all Candidate data is securely stored, processed, and transferred only as necessary for the fulfillment of the Services. The Client shall likewise ensure that any personal data received from Reelin is treated with confidentiality and is not used for purposes beyond the scope of this Agreement. Applicability of GDPR / Data Privacy Act The Client is the data controller for all personal data processed under this Agreement. Reelin and the Candidate act as (sub-)processors. The parties acknowledge that the GDPR (EU) and the Philippine Data Privacy Act (DPA) may apply where personal data of (EU) citizens or other data subjects are processed. International Data Transfers In cases of personal data transfers from the EU/EEA to the Philippines, the parties will implement appropriate safeguards (such as Standard Contractual Clauses) in accordance with the GDPR. Reelin guarantees cooperation with all requirements for lawful data transfers. Technical and Organizational Measures Reelin and the Candidate will implement adequate security measures, including but not limited to encryption, VPN, multi-factor authentication (MFA), access controls, and logging. Data Breach Notification In the event of (suspected) data breaches or unauthorized processing, Reelin shall notify the Client immediately, but no later than within 24 hours. Reelin will provide all necessary information to facilitate any reporting obligations to supervisory authorities.
12. Intellectual Property
Work for Hire: All intellectual property rights to materials developed or modified by the Candidate – including (but not limited to) source code, databases, scripts, data architecture, dashboards, designs, and documentation – shall belong exclusively to the Client from the moment of creation, unless the parties agree otherwise in writing. Transfer by Reelin: Reelin warrants to the Client that it has obtained an irrevocable and unlimited transfer of rights from the Candidate (through a separate agreement or clause), ensuring that the Client can use all delivered materials without interference. Use by Candidate or Third Parties: The Candidate (and Reelin) are prohibited from using or sublicensing the delivered materials to other clients without prior written consent from the Client. Infringement In the event of an alleged infringement by a third party, the parties will promptly inform each other and consult on appropriate measures.
13. Termination
Either party may terminate the agreement with 30 days' written notice. Upon termination, all work and materials will be transferred to the Client.
Termination of Agreement: Upon termination of the assignment (regardless of the reason), Reelin will ensure that the Candidate properly completes or hands over all tasks to the Client or to a substitute designated by the Client. Transfer of Materials: The Candidate will transfer all developed documentation, source code, login credentials, databases, dashboards, or other materials to the Client within 10 working days after termination. If this transfer is done digitally, a secure transfer method will be used. Termination of Access: The Client will revoke all access rights, accounts, and credentials of the Candidate as soon as the work concludes, ensuring there is no unauthorized access.
14. Prohibition on Direct Hiring:
The Client agrees not to offer direct employment, contracting, or any form of engagement to the Candidate during the contracting period without Reelin’s prior written consent.
15. Placement Fee for Direct Hiring:
If the Client wishes to hire the Candidate directly, they can do so after 12 months for a placement fee of €6,000 or an alternative amount agreed on in writing.
16. Breach of Restriction:
In the event the Client hires the Candidate directly without Reelin’s consent and without paying the required Placement Fee, the Client will automatically owe Reelin a Placement Fee of € 15.000. Reelin reserves the right to take legal action to recover this Placement Fee, along with any associated legal costs.
17. Acknowledgement of Terms:
The Client acknowledges and agrees to abide by this restriction on direct hiring and the associated financial obligations.
18. Employment Status:
During the Contracting, the Candidate remains an employee or contractor of Reelin, not the Client. The Client will have control over the daily activities of the Candidate, but Reelin remains responsible for the employment relationship, including payroll and benefits, unless otherwise agreed.
19. Termination of Contracting:
Either party may terminate the Contracting arrangement by providing a [30-day] notice in writing. If the Client terminates the arrangement within the first three months, outside the probation period, the Client will be liable for the remaining monthly fees through this period.
20. Acknowledgement of Terms:
In accepting these terms, Client agrees to immediately notify Reelin if Client accepts an Introduced Party for employment or other engagement.
21. Guarantee & Warranty:
Reelin provides no warranty regarding the accuracy, reliability, or completeness of any work, information, tasks, or projects completed by the Candidate. While we commit to exerting our utmost effort to deliver the most precise and efficacious information possible, and firmly believe that our Reelin Candidates excel in this aspect above all others, we must clarify that Reelin cannot be held legally liable for any inaccuracies, errors, or deficiencies in the information or results provided. In the event that the work, information or outcomes supplied are found to be incorrect, although we will express our sincere regret, we must assert that Reelin, and by extension its Candidates, cannot be held accountable in a legal capacity for such discrepancies or their consequential impacts. Reelin will not be liable for any indirect, incidental, consequential, or punitive damages arising from the use or reliance on the information, tasks, work or projects completed by the Candidate, including but not limited to financial loss, business interruption, or reputational damage. Furthermore, Reelin guarantees that the Candidate will adhere to industry standards and provide their services in good faith and with reasonable care, but no guarantees or assurances are made regarding the ultimate success or performance of the services rendered. This provision does not affect the statutory rights of the Client, and Reelin remains committed to resolving any issues through good faith communication and cooperation with the Client.
22. Candidate’s Suitability:
Though Reelin conducts thorough background checks, it is Client’s ultimate responsibility to verify each Candidate’s suitability for a position. Reelin will not supervise, scope, direct, control, or monitor the work performed by a Candidate and cannot and shall not accept any responsibility and/or liability of any kind for such work or the quality or absence thereof. Likewise, Reelin shall not be responsible for any action or inaction on the part of a Candidate, whether in the interview stage or after successful hiring. To the extent permitted by law, Client hereby releases Reelin for any and all liability, claims, demands, and/or damages of any and every kind and/or nature, known or unknown, suspected or unsuspected arising out of the action and/or inaction of any and all Candidate(s).
23. Indemnification and Defence:
Client agrees to defend, indemnify, and hold harmless Reelin and its affiliates and their officers, directors, employees, agents, successors and assigns from and against all losses, damages, liabilities, deficiencies, actions judgments, interest, awards, penalties, fines, costs, or expenses of whatever kind (including reasonable attorneys’ fees) arising out, resulting from or in connection with Client’s conduct relative to a Candidate, the performance of the Candidate, and/or from any liability arising from any questions and/or complaints relative to the Client’s conduct relative to a Candidate and/or the Candidate’s performance.
24. Non-Refundable Payment:
Once Client hires an Introduced Party, any payments referred to in this Agreement shall not be refundable under any circumstances in the event the first Candidate leaves Client or terminates any contract with Client for whatever reason.
25. Effective Date and Termination:
This Agreement shall be deemed to be effective upon execution by both parties and shall be valid until terminated pursuant to the provisions hereof.
26. Survival of Obligations:
Either party may at its sole discretion without assigning any reason or without incurring any liability whatsoever to the other party, terminate this Agreement after giving one (1) month’s written notice to the other party; provided, however, that Client’s obligations to (i) pay Reelin in full for its Services if Client hires an Introduced Party within twenty four (24) months from the date of introduction, and (ii) to indemnify Reelin, in each case as set forth in this Agreement, shall survive any termination of this Agreement.
27. Amendment and Modification:
No amendment, modification or other variation can be made to this Agreement without the mutual written agreement of Reelin and Client.
28. Governing Law and Jurisdiction:
This Agreement and all matters arising out of or relating to this Agreement and the Services provided hereunder, whether sounding in contract, tort, or statute, for all purposes shall be governed by and construed in accordance with the laws of the Netherlands (including its statutes of limitations), without giving effect to any conflict of laws principles that would cause the laws of any other jurisdiction to apply. Any action or proceeding by either of the parties to enforce this Agreement shall be brought only in the courts situated in the Netherlands. The parties hereby irrevocably submit to the exclusive jurisdiction of these courts and waive the defense of inconvenient forum to the maintenance of any action or proceeding in such venue.
29. Injunction and Equitable Relief:
If Client breaches or threatens to breach this Agreement, Client hereby acknowledges and agrees that Reelin shall be entitled to seek, in addition to other available remedies, a temporary or permanent injunction or other equitable relief restraining such breach or threatened breach from any court of competent jurisdiction, and that money damages would not afford an adequate remedy, without the necessity of showing any actual damages, and without the necessity of posting any bond or other security. This equitable relief shall be in addition to, not in lieu of, legal remedies, monetary damages, or other available forms of relief. Client further acknowledges that Reelin may suspend and/or terminate its services under this Agreement upon allegation that Client has engaged in unlawful activity.
30. Severability:
This Agreement, including all addendums hereto, constitutes the entire agreement between the parties with respect to the subject matter and supersedes any prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter. If any term or provision of this Agreement is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of this Agreement or invalidate or render unenforceable such term or provision in any other jurisdiction. This Agreement may be executed in multiple counterparts and by electronic or facsimile signature, each of which shall be deemed an original and all of which together shall constitute one instrument.
31. Third-party beneficiaries:
There are no third-party beneficiaries under this Agreement.
